Sonaflo Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, platform, products, and services provided by Sonaflo (“Sonaflo”, “we”, “us”, or “our”), including Sonaflo Results, Multi-Source Results, Backfill, DeckMate, Survey Generator Pro, and related tools (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Services.

1. Agreement to These Terms

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by:

  • These Terms; and
  • Our Privacy Policy, which is incorporated by reference.

Additional product- or feature-specific terms may apply; if there is a conflict, those specific terms usually control for that feature.

2. Definitions

For purposes of these Terms:

  • “Platform” means the Sonaflo software-as-a-service platform, including the Sonaflo website, dashboards, APIs, and related tools and services.
  • “Client” means any advertiser, agency, publisher, or other organization that uses the Services.
  • “Measurement Source” or “Source” means any third party that provides brand-lift, measurement, or other performance reports, studies, or data to a Client or to Sonaflo for use within the Services.
  • “Source Reports” means any brand-lift study, measurement output, report, dataset, or other materials provided by or on behalf of a Measurement Source, whether uploaded directly to the Services or ingested through Sonaflo’s tools or integrations.
  • “Client Data” means any data, content, or materials supplied by or on behalf of a Client, including campaign information, briefs, categorizations, product and brand metadata, and any other context associated with Source Reports.
  • “Customer Data” means, collectively, all Source Reports, Client Data, survey instruments, templates, file uploads, configuration settings, and other information that you or your organization submit or make available to the Services.
  • “Category” means a generalized grouping or classification used by Sonaflo for analytic purposes (for example, but not limited to, industry, vertical, product category, media channel, or audience segment) that does not identify any specific individual, Client, brand, product, or campaign.
  • “Aggregated Data” means data or information resulting from the combination of multiple data sets (including Customer Data) in a manner that does not identify any individual, Client, brand, product, campaign, persona, or Measurement Source.
  • “Trends Data” means any aggregate, statistical, anonymized, or de-identified output generated by Sonaflo from Customer Data, including but not limited to category-level and other aggregated trends, benchmarks, and analytics that do not identify any specific individual, persona, Client, brand, product, campaign, or Measurement Source.

3. Who May Use the Services

The Services are intended for business and professional use by agencies, advertisers, publishers, and Measurement Sources, not for personal or consumer use.

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
  • If you use the Services on behalf of a company or organization, “you” includes that entity, and you represent that you have authority to bind it to these Terms.
  • We may decline, suspend, or terminate access where required by law, export controls, sanctions, or our internal risk policies.

4. Account Registration and Security

To use certain features, you must create an account and be associated with an organization (tenant) in Sonaflo.

  • Accurate information: You agree to provide accurate, current, and complete information and to keep it up to date.
  • Credentials: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must not share passwords or allow others to use your credentials.
  • Access through your employer or client: If your account is provisioned by an employer, client, or partner organization, that organization may control or administer your access and may terminate it at any time.
  • Security incidents: You agree to notify us promptly at security@sonaflo.com (or via your normal support channel) if you suspect unauthorized access to your account or the Services.

5. Customer Data and Role of Sonaflo

5.1 Your Responsibilities

Customer Data means any data, content, files, brand-lift results, survey instruments, templates, or other information that you or your organization submit to the Services.

You are responsible for the accuracy, quality, and legality of Customer Data and how you acquire it. You represent and warrant that:

  • You have obtained all necessary rights, licenses, consents, and permissions to submit Customer Data to the Services;
  • You have the right to grant the licenses and rights described in these Terms, including Sonaflo’s use of Customer Data to generate Aggregated Data and Trends Data; and
  • Your submission and our processing of Customer Data in accordance with these Terms will not violate any law or any agreement with a third party (including agreements with Measurement Sources, Clients, or other partners).

5.2 Processor / Service Provider Role

In many cases, Sonaflo acts as a processor or service provider to our customers and processes personal data only on their instructions, as further described in our Privacy Policy and any applicable data processing agreement.

However, as further described below, Sonaflo may create and use Aggregated Data and Trends Data derived from Customer Data in its own capacity as an independent controller or business.

5.3 License to Use Customer Data for Service Delivery and Trends

By submitting or making available any Customer Data (including Source Reports and Client Data) to the Services, you (and your organization) grant Sonaflo a worldwide, non-exclusive, transferable, sublicensable, irrevocable, royalty-free license to:

  • Host, store, process, normalize, transform, and transmit Customer Data as necessary to provide, secure, maintain, and improve the Services;
  • Generate derived works, including Aggregated Data and Trends Data, from Customer Data; and
  • Use, reproduce, modify, distribute, display, and otherwise exploit such Aggregated Data and Trends Data for any lawful business purpose, including analytics, product improvement, research, and the provision of category-level trends and benchmarks to users of the Services.

As between the parties, you retain ownership of your Customer Data, subject to the license grants above. Sonaflo retains ownership of the Services and all Aggregated Data and Trends Data.

5.4 Use of Source Reports and Client Data in Trends (Category-Only)

You expressly acknowledge and agree that:

  • Sonaflo will use Source Reports and Client Data to power Trends Data and other aggregated analytics within the Services.
  • Trends Data is derived from Customer Data from multiple Clients, campaigns, and/or Measurement Sources and is not limited to your organization’s data.
  • Trends Data will be presented only at the Category or higher level (or in similarly aggregated forms) such that it reflects generalized patterns and does not identify:
    • any specific individual or persona;
    • any specific Client, brand, or product;
    • any specific campaign or creative; or
    • any specific Measurement Source, unless otherwise expressly agreed in writing with that Measurement Source.

Sonaflo will implement reasonable technical and organizational measures designed so that Trends Data and Aggregated Data:

  • do not contain personal data as defined under applicable data protection laws; and
  • are de-identified such that individual Clients, brands, products, campaigns, personas, and Measurement Sources are not reasonably identifiable based on the Trends Data alone.

5.5 Aggregated and De-Identified Data

Without limiting the foregoing:

  • Sonaflo may use Aggregated Data and Trends Data derived from Customer Data and usage of the Services for internal analytics, product improvement, reporting, marketing (subject to confidentiality obligations), and other lawful purposes.
  • Aggregated Data and Trends Data will not identify you, your end clients, your brands, or your products, nor will they identify any specific Measurement Source, except where we have obtained explicit consent or a separate written agreement to do so.

These rights survive any termination of your account or subscription, provided that Sonaflo’s use of Aggregated Data and Trends Data continues to comply with the de-identification and category-only commitments in these Terms.

6. Use of the Services

You may use the Services only in accordance with these Terms, any applicable order forms or statements of work, and all applicable laws. You agree that you will not:

  • Use the Services for any unlawful, harmful, or fraudulent purpose.
  • Submit Customer Data that you do not have the right to use or share.
  • Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Services.
  • Reverse engineer, decompile, or attempt to discover the source code of any non–open-source portions of the Services, except to the extent this restriction is prohibited by law.
  • Circumvent or attempt to circumvent usage limits, rate limits, or security controls.
  • Use the Services to build a competing product or service or to benchmark in a misleading manner.
  • Introduce any malware, viruses, or other harmful code into the Services.
  • Interfere with or disrupt the operation of the Services or the use of the Services by others.

We may investigate violations of these Terms and may suspend or terminate access to the Services where we reasonably believe it is necessary to protect Sonaflo, our customers, or third parties.

7. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share information when you use Sonaflo.

For certain customers, additional data processing terms may apply; in the event of a conflict between those terms and these Terms, the data processing terms will usually control with respect to personal data.

8. Intellectual Property and Ownership

8.1 Sonaflo IP

Sonaflo and its licensors own all right, title, and interest in and to:

  • The Services, including all software, designs, templates, documentation, and branding; and
  • All Aggregated Data and Trends Data, including any intellectual property rights therein.

Except for the limited rights expressly granted in these Terms, Sonaflo reserves all rights in and to the Services, Aggregated Data, and Trends Data.

8.2 Your License to Use the Services

Subject to these Terms and any applicable order form, Sonaflo grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes during the term of your subscription or agreement.

8.3 Your Content

As between you and Sonaflo, you retain all rights in your Customer Data. By submitting Customer Data to the Services, you grant us:

  • The license described in Section 5.3 (to host, store, process, transmit, transform, and display Customer Data as necessary to provide and support the Services); and
  • The rights described in Sections 5.3–5.5 to create and use Aggregated Data and Trends Data.

You acknowledge that Aggregated Data and Trends Data are owned by Sonaflo, even if derived from Customer Data.

9. Fees, Billing, and Purchase Orders

Fees for the Services, billing terms, and any usage-based charges are set out in the applicable order form, statement of work, or commercial agreement between you and Sonaflo or our authorized partner.

  • PO-first model: Many Sonaflo engagements are structured around purchase orders (POs). Your usage may be associated with one or more POs and tracked in Sonaflo’s PO ledger or similar tools.
  • Payment obligations: You agree to pay all applicable fees in the currency and timing specified in your agreement. Late payments may accrue interest or lead to suspension of Services, as specified in the commercial terms.
  • Taxes: Fees are typically exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes arising from your use of the Services, other than taxes on Sonaflo’s income.
  • Where card payments are enabled, they are processed by third-party payment providers. Sonaflo does not store full card numbers in the Platform.

10. Third-Party Services and Integrations

The Services may integrate with or rely on third-party products or services (such as identity providers, analytics tools, AI services, or Measurement Sources). Your use of those third-party services may be governed by separate terms and privacy policies.

Sonaflo is not responsible for third-party services that are not under our control, and we are not liable for any damages arising from your use of them, except to the extent required by law or expressly stated in a written agreement with you.

11. Confidentiality

Each party may receive non-public, confidential information from the other in connection with the Services (“Confidential Information”). Confidential Information includes Customer Data, business plans, pricing, and technical information, but does not include information that is:

  • publicly available through no fault of the receiving party;
  • already known to the receiving party without obligation of confidentiality;
  • independently developed without use of the other party’s Confidential Information; or
  • rightfully obtained from a third party without restriction.

Each party agrees to use the other’s Confidential Information only as necessary to perform its obligations under these Terms or an applicable agreement and to protect it using at least reasonable care. Confidential Information may be disclosed where required by law, provided that the receiving party (where legally permitted) gives the disclosing party reasonable notice to seek protective measures.

12. Warranties and Disclaimers

We will use reasonable efforts to provide the Services in a professional manner consistent with industry standards.

However, except as expressly stated in a written agreement with you, the Services, including any Trends Data, Aggregated Data, AI-generated content, benchmarks, or analytics, are provided “AS IS” and “AS AVAILABLE,” and, to the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement; and
  • Any warranties arising out of course of dealing or usage of trade.

Brand-lift measurement, survey data, and AI-generated narratives inherently involve assumptions, sampling, and modeling. We do not guarantee that any particular business outcome, lift result, benchmark, or trend will be achieved as a result of using the Services.

You are solely responsible for how you interpret and use the Services, including any Trends Data and Aggregated Data, in your business decisions.

13. Limitation of Liability

To the maximum extent permitted by law, neither Sonaflo nor its directors, employees, or affiliates will be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages; or
  • Loss of profits, revenue, data, goodwill, or business opportunities,

arising out of or related to your use of or inability to use the Services, Customer Data, Trends Data, or Aggregated Data, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, Sonaflo’s aggregate liability arising out of or relating to the Services or these Terms will not exceed:

  • The amounts paid or payable by you for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or
  • Such other amount set out in your written agreement with us.

These limitations do not apply where prohibited by law, and they do not limit your payment obligations for fees owed.

14. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Sonaflo and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services in violation of these Terms or applicable law;
  • Your Customer Data (including Source Reports and Client Data), including any allegation that such data or our use of it in accordance with these Terms infringes, misappropriates, or violates the rights of a third party or breaches your obligations to Measurement Sources, Clients, or other partners; or
  • Any dispute between you and your clients, Measurement Sources, or other third parties relating to your use of the Services.

15. Suspension and Termination

We may suspend or terminate your access to the Services if:

  • You breach these Terms;
  • You fail to pay applicable fees; or
  • We reasonably believe suspension or termination is necessary to protect the Services, our customers, or third parties.

We will endeavor to provide notice where practicable.

You may stop using the Services at any time. If you terminate your use of the Services, any obligations to pay accrued fees and any provisions that by their nature should survive (such as confidentiality, ownership, data rights, disclaimers, limitation of liability, and indemnification) will continue to apply.

16. Changes to the Services and These Terms

We are continually improving Sonaflo and may add, modify, or discontinue features or functionalities from time to time. Where changes materially reduce core functionality or significantly affect your use of the Services, we will use reasonable efforts to provide advance notice.

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and may provide additional notice where required. Your continued use of the Services after updated Terms are posted indicates your acceptance of the changes.

17. Export Controls and Sanctions

You may not use the Services if you are, or are acting on behalf of, a person or entity that is barred from using the Services under applicable export control or sanctions laws. You agree to comply with all such laws and to not use the Services in any jurisdiction or for any purpose prohibited by them.

18. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles, unless a different governing law is specified in a signed agreement with you.

The parties agree to submit any disputes to the exclusive jurisdiction of the state and federal courts located in [City, State], unless otherwise agreed in writing, and each party waives any objection to venue or jurisdiction in those courts, except where such waiver is prohibited by law.
